These general terms and conditions apply to every quote and assignment from blokwerk, unless agreed otherwise in writing. (Draft, legal review pending.)
These terms apply to all offers, quotes and agreements between blokwerk (trade name, KvK 88807797) and the client.
We work with one fixed price agreed up front, set out in the proposal. That price is binding: no recalculation afterwards and no surprise extra work. If the scope changes substantially, we make a new, separate proposal for it with its own fixed price.
Payment and instalments are agreed per assignment and set out in the quote. Usually that is one part at the start and the rest on delivery; larger assignments can have more instalments. Invoices have a payment term of 14 days, unless the quote says otherwise. All amounts exclude VAT.
If the payment term is exceeded, we first send a reminder. If payment still does not follow, we may suspend the work until the outstanding invoice has been paid.
After full payment the delivered work is the property of the client: code, design, CMS setup and domain. No licences, no lock-in: you take everything with you.
We deliver on the agreed date and hand over management properly. Maintenance and hosting are agreed separately. Defects that already existed at delivery are repaired free of charge within a reasonable period.
Our liability is limited to the amount invoiced for the assignment concerned. We are not liable for indirect damage, including lost revenue, missed savings and loss of data. This provision does not apply in case of intent or deliberate recklessness.
Services from third parties that are part of your project (hosting, a CMS, a payment provider, a platform) are subject to that party's terms. We set them up and explain what they say; we are not their supplier.
Dutch law applies to every agreement. If we cannot resolve a dispute together, we submit it to the competent court in the district of Noord-Holland.
